! IMPORTANT — READ BEFORE PROCEEDING: This Agreement contains binding legal obligations including limitations on liability, a mandatory arbitration clause, and a class action waiver. By signing below, you acknowledge that you have read, understood, and agree to be bound by all terms.
This Subscriber & User Agreement ("Agreement") is entered into between Medicolegal Intelligence LLC ("Company," "we," "us," or "our"), a Delaware limited liability company, and the individual or entity identified in the signature block below ("Subscriber," "you," or "your").
MedLegal AI provides a suite of artificial intelligence-powered software tools ("Services") accessible via medicalai.law, designed to assist licensed attorneys and medical professionals with medical-legal research, document analysis, expert witness support, and related tasks. The Services include but are not limited to:
THE SERVICES DO NOT CONSTITUTE LEGAL ADVICE, MEDICAL ADVICE, OR THE PRACTICE OF LAW OR MEDICINE. All output generated by the platform is for informational and research assistance purposes only. You are solely responsible for independently verifying all information, applying your professional judgment, and complying with all applicable professional standards, ethical rules, and legal requirements. No attorney-client or physician-patient relationship is created by use of the Services.
By agreeing to these terms, you represent and warrant that:
If you submit Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations, you agree to execute a Business Associate Agreement ("BAA") with the Company prior to submitting any PHI. The Company's standard BAA is available at medicalai.law/baa. You represent that you have all necessary authorizations and consents required by HIPAA and applicable state law before submitting any PHI to the platform. Submission of PHI without an executed BAA is a material breach of this Agreement.
You agree NOT to:
All software, algorithms, designs, trademarks, and content comprising the Services are the exclusive property of Medicolegal Intelligence LLC or its licensors. Your use of the Services grants you no ownership interest in any Company intellectual property. You retain ownership of any content you upload to the platform, but grant the Company a limited, non-exclusive license to process that content solely to provide the Services to you.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement and to use such information only for the purposes contemplated herein. This obligation survives termination of this Agreement for a period of three (3) years.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Medicolegal Intelligence LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; or (d) any content you submit to the platform.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
This Agreement is effective upon your acceptance and continues until terminated. The Company may suspend or terminate your access immediately upon written notice if you breach any material term of this Agreement. Upon termination, your right to access the Services ceases immediately. Sections 8, 9, 10, 11, 12, 13, and 14 survive termination.
The Company reserves the right to modify this Agreement at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Agreement.
This Agreement, together with the Privacy Policy and any executed HIPAA BAA, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior understandings, negotiations, and agreements, whether written or oral.

By completing and submitting this form, you are signing this Agreement electronically. Your electronic signature has the same legal effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
