These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Medicolegal Intelligence LLC, a Delaware limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the MedLegal AI Suite platform, including all associated tools, features, APIs, and content available at medicalai.law (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

You must provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.
The MedLegal AI Suite is an artificial intelligence–assisted research, analysis, and drafting platform designed to help legal and medical professionals in medicolegal matters. Features may include, without limitation: AI-assisted review of medical records, causation analysis, expert report drafting assistance, case chronology generation, and related productivity tools.
THE OUTPUT GENERATED BY THE SERVICE, INCLUDING ANY TEXT, ANALYSIS, SUMMARIES, CHRONOLOGIES, DRAFT LANGUAGE, OR OTHER CONTENT PRODUCED BY THE AI ENGINE (COLLECTIVELY, "AI OUTPUT"), DOES NOT CONSTITUTE LEGAL ADVICE AND IS NOT A SUBSTITUTE FOR THE PROFESSIONAL JUDGMENT OF A LICENSED ATTORNEY. No attorney-client relationship is created between you and Medicolegal Intelligence LLC by your use of the Service.
AI OUTPUT DOES NOT CONSTITUTE MEDICAL ADVICE, MEDICAL DIAGNOSIS, OR A CLINICAL OPINION, AND IS NOT A SUBSTITUTE FOR THE PROFESSIONAL JUDGMENT OF A LICENSED PHYSICIAN OR OTHER HEALTHCARE PROVIDER. AI Output should not be used to make clinical decisions or to advise any patient regarding treatment.
All AI Output must be independently reviewed, verified, and validated by a qualified licensed professional before use in any legal proceeding, expert report, client communication, or other professional context. You are solely responsible for the use, reliance on, or disclosure of any AI Output. The Company makes no representation that AI Output is accurate, complete, current, or free from error.
Nothing in the Service or these Terms authorizes any person to practice law or medicine without the appropriate license.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
You are solely responsible for all data, documents, records, and other content you upload to or process through the Service ("User Content"). You represent and warrant that:
You agree not to upload personal data beyond what is reasonably necessary for the medicolegal matter at hand. You agree not to use the Service to process data for any purpose unrelated to your legitimate professional activities.
To the extent your use of the Service involves the upload or processing of PHI (as defined under the Health Insurance Portability and Accountability Act of 1996, as amended, "HIPAA"), such use is governed by the separately executed Business Associate Agreement ("BAA") between you (or your organization, as Covered Entity) and Medicolegal Intelligence LLC (as Business Associate). You may not upload PHI to the Service unless and until a valid, executed BAA is in place.
If you have not executed a BAA with the Company, you represent and warrant that you will not upload, transmit, or otherwise provide any PHI through the Service.
You may upload de-identified health information that does not constitute PHI under HIPAA's de-identification standards (45 C.F.R. § 164.514) without a BAA, provided that de-identification was performed in compliance with applicable law.
Access to the Service requires a paid subscription. Current pricing, plan features, and billing cycles are described at medicalai.law/pricing and are incorporated herein by reference. Plans are offered on a monthly or annual basis.
New users may be eligible for a fourteen (14)-day free trial. Only one free trial per person and per organization is permitted. We reserve the right to modify or discontinue the free trial offer at any time without notice.
Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You authorize us (or our payment processor) to charge your designated payment method for each renewal period.
We reserve the right to change subscription pricing upon at least thirty (30) days' prior written notice (including by email to the address on file). Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
Prices do not include applicable taxes. You are responsible for all applicable sales, use, value-added, or similar taxes.
ALL FEES PAID TO MEDICOLEGAL INTELLIGENCE LLC ARE NON-REFUNDABLE, EXCEPT AS EXPRESSLY REQUIRED BY APPLICABLE LAW. This includes, without limitation, fees paid for any partial subscription period, unused features, or following a downgrade or cancellation. By subscribing to the Service, you expressly waive any right to a refund except as required by law.
If you cancel your subscription, you will retain access to the Service through the end of your then-current paid billing period. Cancellation does not entitle you to a prorated refund for any unused portion of a prepaid subscription term.
The Service, including all underlying software, algorithms, models, databases, user interfaces, design elements, documentation, and all other content provided by the Company (excluding User Content), is owned by Medicolegal Intelligence LLC or its licensors and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership interest in the Service to you.
Subject to these Terms and your payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal professional purposes during the subscription term.
You retain ownership of all User Content you upload to the Service. By uploading User Content, you grant the Company a limited, non-exclusive, worldwide license to process, store, display, and otherwise use your User Content solely as necessary to provide the Service to you, to comply with legal obligations, and as described in our Privacy Policy.
As between you and the Company, you own the AI Output generated by the Service based on your User Content, subject to: (a) the Company's underlying intellectual property rights in the Service and AI engine; (b) any applicable third-party licenses; and (c) your compliance with these Terms. The Company reserves the right to use aggregated, de-identified usage data and AI interactions (with all personal and confidential information removed) for the purpose of improving the Service.
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such Feedback into the Service without any obligation to you.
Subject to the terms of any executed BAA and our Privacy Policy, we will use commercially reasonable efforts to maintain the confidentiality of your User Content and not disclose it to third parties except as necessary to provide the Service, as required by law, or as otherwise described in our Privacy Policy.
You agree to keep confidential any non-public information about the Service, including pricing not publicly listed, technical architecture, and product roadmaps, that is disclosed to you in the course of your use of or negotiations regarding the Service.
Your use of the Service is subject to our Privacy Policy, available at medicalai.law/privacy, which is incorporated herein by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Company does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any AI Output will be accurate, complete, reliable, or suitable for any particular purpose; (c) any defects or errors will be corrected; or (d) the Service is free from viruses or other harmful components.
You acknowledge that AI systems may produce inaccurate, incomplete, or misleading output. You assume all risk associated with your use of AI Output in professional or legal contexts.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDICOLEGAL INTELLIGENCE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI OUTPUT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this Section 13 reflect a reasonable allocation of risk and are an essential basis of the bargain between the parties. The Company would not provide the Service on the terms set forth herein without these limitations.
You agree to defend, indemnify, and hold harmless Medicolegal Intelligence LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or professional ethics rule; (e) your reliance on or use of AI Output; or (f) any PHI you upload to the Service without an executed BAA.
These Terms remain in effect for as long as you maintain an account or subscription with the Company.
You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation is effective at the end of your current billing period.
The Company may suspend or terminate your access to the Service immediately, with or without notice, if: (a) you breach any provision of these Terms; (b) the Company determines, in its sole discretion, that continued access poses a risk to the Service or other users; (c) you fail to pay fees when due; or (d) required by applicable law.
Upon termination, your right to access and use the Service ceases immediately. Sections 4, 8, 9, 10, 12, 13, 14, 16, 17, and 18 shall survive termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve any dispute informally for at least thirty (30) days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including questions of arbitrability) shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware or, at either party's option, via videoconference. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of class proceeding.
Notwithstanding the foregoing, either party may seek emergency equitable relief from a court of competent jurisdiction in Delaware to prevent irreparable harm pending arbitration, including in connection with alleged intellectual property infringement.
For any matters not subject to arbitration under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.
These Terms, together with the Privacy Policy, any executed BAA, and any order form or subscription agreement, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements or understandings.
We may modify these Terms at any time by posting revised Terms on the Service. We will notify you by email or in-app notice at least fourteen (14) days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
No waiver of any provision of these Terms shall be effective unless in writing. If any provision is found unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
You may not assign or transfer these Terms or any rights hereunder without the Company's prior written consent. The Company may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
The Company is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, government action, pandemic, internet outages, or third-party service failures.
These Terms do not confer any rights on any third party.
